§ 1 Scope, contracting party
(1) These terms apply to all contracts for the use of the EineEmail email service (web app at mail.eineemail.com, apps, EineEmail Bridge) between you and Cloudorax UG (haftungsbeschränkt), Nehringstraße 4 A, 14059 Berlin, Amtsgericht Charlottenburg HRB 286107 B ("we").
(2) A consumer is any natural person who concludes the contract for purposes predominantly outside their trade, business or profession (§ 13 BGB). A business is any natural or legal person or partnership acting in the exercise of its trade, business or profession (§ 14 BGB). Provisions that apply only to consumers or only to businesses are marked as such.
(3) Conflicting terms of businesses apply only if we expressly agree to them in text form.
(4) For organisations that have us process their users' personal data, our data processing agreement (DPA) also applies.
§ 2 Description of services
(1) EineEmail is an email service with end-to-end encryption (OpenPGP) and zero-access storage. The scope of each plan (storage, domains, users, features) follows from the plan overview on eineemail.com at the time of order.
(2) Zero-access means: the content of emails, contacts and calendar events is stored only in encrypted form; the keys to decrypt it are with you. Zero-access has technical limits, which we expressly point out:
- Email from other providers arrives unencrypted and is briefly processed in plain text (recipient check, spam and malware scanning) before it is stored encrypted.
- Email to recipients outside EineEmail without an OpenPGP key is sent in plain text and is processed and spam-checked by our outbound server.
- Metadata (sender, recipients, times, sizes, IP addresses) is not end-to-end encrypted.
- Security also depends on your devices, your password and how you keep your recovery phrase.
(3) We provide the service with due care according to the state of the art. Towards businesses we owe a specific availability only where separately agreed. We carry out maintenance at low-usage times where possible and announce plannable longer interruptions in advance.
(4) We may develop and change the service provided the agreed essential services are preserved and the change is reasonable for you. For consumers, § 327r BGB applies to changes to digital products.
(5) Reasonable sending limits may apply to keep delivery working for all users.
§ 3 Beta phase
(1) EineEmail is in a public beta. Use during the beta is free of charge. Some features may still be limited (e.g. one recipient per message via EineEmail Bridge) or change.
(2) The prices shown on the website apply from the public launch. A paid contract is only concluded when you expressly order a plan subject to payment. We will inform beta users in text form at least 30 days before free use ends. If you do not order a plan, free use ends; § 9(2) (data export) applies accordingly.
(3) Our liability during the beta is also governed by § 8.
§ 4 Registration, conclusion of contract, minimum age
(1) The plans shown on the website are not a binding offer. By completing registration or clicking the order button you make an offer; the contract is concluded when the account is activated or we confirm in text form. The contract language is German; translations are for information.
(2) You must be at least 16 years old. Younger people may only use EineEmail with the consent of their parents or guardians.
(3) Your registration details must be accurate. Only a reasonable number of accounts per person is permitted; automated registrations are prohibited.
§ 5 Prices and payment
(1) The prices shown when ordering apply. For consumers these are final prices including statutory VAT. For businesses prices are exclusive of statutory VAT.
(2) Fees are payable monthly or annually in advance depending on the billing period chosen. Available payment methods are shown when ordering.
(3) Price changes for ongoing contracts are only possible under § 10.
(4) If a business is in default of payment, we may restrict access after a reminder and a period of at least 14 days; access to stored data for export remains possible. For consumers the statutory rules apply.
§ 6 Term and termination
(1) Monthly plans run for an indefinite period and can be terminated by either party at any time with effect from the end of the current billing month.
(2) Annual plans have a minimum term of twelve months. If not terminated, the contract then continues for an indefinite period and you can terminate it at any time with one month's notice (§ 309 no. 9 BGB). A notice period of one month also applies to termination at the end of the minimum term. We refund overpaid fees pro rata.
(3) We may terminate contracts of indefinite duration with one month's notice.
(4) The right to terminate for good cause remains unaffected.
(5) Termination is possible in text form, e.g. by email to info@cloudorax.com, or in the account settings. As soon as paid contracts can be concluded via the website, we will also provide a cancellation button in accordance with § 312k BGB.
(6) You can end free accounts at any time. We can end free accounts with 30 days' notice.
§ 7 Your obligations, acceptable use
(1) You must not misuse EineEmail. In particular, the following are prohibited:
- sending unsolicited bulk or advertising email (spam) and circumventing sending limits,
- phishing, fraud, distributing malware or impersonating others,
- distributing unlawful content, in particular child sexual abuse material, and infringing third-party rights,
- attacking our systems or those of third parties, creating accounts automatically and overloading the service.
(2) You keep your password, devices and recovery phrase secret and secure. If you suspect misuse of your account, inform us without delay.
(3) Organisations are responsible for their users complying with these rules and for the lawful use of their own domains.
§ 8 Liability
(1) We are liable without limitation for intent and gross negligence, for injury to life, body or health, under the Product Liability Act and to the extent of any guarantee given.
(2) For slightly negligent breach of an essential contractual obligation (an obligation whose fulfilment makes proper performance of the contract possible in the first place and on whose fulfilment you may regularly rely), our liability is limited to the typical, foreseeable damage.
(3) Otherwise liability for slight negligence is excluded.
(4) These limitations also apply in favour of our staff and agents. Mandatory statutory rights of consumers, in particular under §§ 327 et seq. BGB for defects in digital products, remain unaffected.
(5) Recovery phrase: we technically cannot recover your encrypted data if you lose your password and your recovery phrase. This is a property of the security model, which we explain at registration. For data loss caused by our own fault, we are liable under paragraphs 1 to 4.
§ 9 Suspension, end of contract, data export
(1) If you breach § 7, we may suspend your account fully or partially (e.g. sending only). We announce a suspension in advance in text form and give you an opportunity to respond, unless immediate suspension is necessary to avert an acute danger to our systems, other users or third parties (e.g. ongoing spam, compromised account, malware) or for legal reasons; in that case we inform you without delay afterwards. We choose the mildest effective measure and lift the suspension as soon as the reason no longer applies.
(2) After the contract ends you have 30 days to export your data (e.g. via EineEmail Bridge over IMAP); during this time your account can only be used for export. We then delete mailbox, account data and keys within a further 30 days. Transparency log entries are revoked, not deleted (see privacy policy). Statutory retention obligations remain unaffected.
§ 10 Changes to terms and prices
(1) We notify you of changes to these terms or to prices for ongoing contracts in text form at least six weeks before they take effect.
(2) Material changes – in particular to main services and prices – only take effect if you expressly agree. Your silence does not count as consent. If you do not agree, the contract continues on the previous terms; our right to ordinary termination under § 6 remains unaffected.
(3) Immaterial changes that do not affect your rights (e.g. editorial changes or changes required by mandatory law) take effect upon notification.
§ 11 Right of withdrawal
Consumers have a statutory right of withdrawal. Details are in our withdrawal policy.
§ 12 Dispute resolution
We are neither willing nor obliged to take part in dispute resolution proceedings before a consumer arbitration board.
§ 13 Final provisions
(1) German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. For consumers this choice of law applies only insofar as it does not deprive you of the protection of mandatory provisions of the country of your habitual residence.
(2) If you are a merchant, a legal entity under public law or a special fund under public law, the place of jurisdiction for all disputes is Berlin. For consumers the statutory places of jurisdiction apply.
(3) Should a provision be invalid, the rest of the contract remains valid; the statutory provision replaces the invalid one.
